# How to check if your LLC is in good standing (and get the certificate)

"Good standing" means the state has your annual report or tax on file and paid. Banks, payment providers and marketplaces often ask for a certificate of good standing. Here's how to check it and get one in the states most non-US founders use.

## Wyoming

- Print or validate a **certificate of good standing free** online from the Secretary of State's business center (wyobiz.wyo.gov).
- Good standing depends on your **annual report**, due on the first day of your formation anniversary month. [Wyoming annual report](https://filingchecker.com/wyoming-llc-annual-report).
- Missed reports for up to two years can be fixed with an online reinstatement.

## Delaware

- An official certificate of status costs **$50** (short form) or $175 (long form), ordered from the Division of Corporations. The $10 online status check is not an official certificate.
- Good standing depends on the **annual LLC tax**, due 1 June: $400 from the 2026 tax year (it was $300). Unpaid, the LLC falls out of good standing on 2 June. [Delaware annual tax](https://filingchecker.com/delaware-llc-annual-tax).

## Other states

Every state's business registry has a free name search showing status (Active, Inactive, Delinquent, Revoked). If it isn't "Active" or "In good standing", file the missing report or pay the missing tax, then order the certificate. ## Good standing is only the state side

The IRS doesn't issue good standing certificates. For a foreign-owned LLC, the federal side is Form 5472 and the pro forma 1120 each year, and an EIN letter (147C) if you need proof of your EIN. [Check your EIN](https://filingchecker.com/check-ein-active-147c).
