MCA annual filing due dates and late fee calculator

Every Indian company files its financial statements (AOC-4) and annual return (MGT-7 or MGT-7A) with the Registrar of Companies each year. LLPs file Form 11 and Form 8. Miss a date and MCA charges ₹100 a day for each form, with no upper limit. See your dates and what you owe.

Due dates for the year ended 31 March 2026

If the AGM isn't held at all, MCA counts the 30 and 60 days from the last day it should have been held. MCA sometimes extends these dates by circular, so check the MCA news page if you're close to a deadline.

What late filing costs

  • Additional fee: ₹100 for every day late, for each form, on top of the normal filing fee. There is no maximum, so a form one year late costs about ₹36,500.
  • Penalties: the Registrar can also impose penalties for not filing financial statements (section 137) or the annual return (section 92), up to ₹2 lakh for the company and ₹50,000 for each officer in default.
  • Disqualification: directors of a company that hasn't filed for three years in a row can be disqualified for five years (section 164(2)), which removes them from every company board.
  • Strike-off: the Registrar can strike off companies that have stopped filing.

If you've already missed it

File as soon as possible: the fee grows every day. MCA has run amnesty schemes in the past (the Companies Fresh Start Scheme in 2020 and a condonation scheme for disqualified directors), so watch for new ones if you're several years behind, but don't wait for one.
