US LLC yearly cost by state for non-US owners

What a single-member LLC really costs to keep, not just to form: the state's yearly fee, your registered agent and the federal filing. Compare Wyoming, New Mexico, Delaware, Florida, Texas and California over the years you plan to keep it.

State fees we used

StateTo formEvery yearDue
New Mexico$50$0, no annual reportNothing yearly
Wyoming$100$60 minimum license tax1st day of your formation month
Texas$300$0 under the revenue threshold, but a Public Information Report is required15 May
Florida$125$138.75 annual report ($400 more if late)1 January to 1 May
Delaware$110$400 annual tax from the 2026 tax year1 June
California$70$800 tax, plus $20 every 2 years for the Statement of Information15th day of the 4th month

What's not in the state fee

  • Registered agent. Every state requires one. Prices run from about $25 to $300 a year; some formation services include the first year.
  • Form 5472 with a pro forma Form 1120. The IRS charges nothing to file, but a foreign-owned single-member LLC must file every year it has money moving between it and its owner, by 15 April. Missing it costs $25,000. Form 5472 guide.
  • Business address and bank. Some banks and payment providers want a US address, which can add a monthly fee.
  • Doing business in another state. If your LLC registers in California or does business there, it owes California's $800 a year as well, whatever state you formed in.

Cheapest isn't always best

New Mexico costs least to keep, and Wyoming is close behind. Some banks, payment processors and marketplaces are more used to Wyoming and Delaware LLCs and may ask more questions about a New Mexico one. Delaware is usually only worth it if you'll raise money from investors, and then most founders form a corporation, not an LLC.
