Florida LLC annual report for non-US owners
Every Florida LLC files an annual report on Sunbiz between 1 January and 1 May, starting the year after it was formed. It costs $138.75 if you're on time. Miss 1 May and a $400 late fee is added that the state won't waive.
Dates and fees
- Window: 1 January to 1 May every year, whatever month you formed the LLC. An LLC formed in 2026 files its first report in early 2027.
- Fee: $138.75 for an LLC ($150 for a corporation).
- From 2 May: a $400 late fee, so $538.75 in total.
- September: if it's still not filed, the state administratively dissolves the LLC on the fourth Friday of September.
How to file
- Go to the Sunbiz annual report page and enter your document number (it's on your Articles of Organization and on Sunbiz's search results).
- Check the principal and mailing addresses, the registered agent, and the managers or authorized persons. A non-US address is fine for the principal and mailing address; the registered agent must have a Florida street address.
- Pay by card and save the confirmation.
Everything on the report is public on Sunbiz, including the names of managers or authorized persons. Many non-US owners list their registered agent's address as the mailing address for that reason.
If the LLC was dissolved
File for reinstatement on Sunbiz. You pay a reinstatement fee plus every report you missed, and the LLC is treated as if it had never been dissolved. Do it quickly: while it's dissolved, banks and payment providers may freeze the account.
What else a foreign-owned Florida LLC files
- Form 5472 with a pro forma Form 1120 to the IRS by 15 April (15 October with a Form 7004 extension) for every year with money in or out between you and the LLC. The fine for missing it is $25,000. Form 5472 guide. Missed it? Penalty relief.
- A Florida registered agent, all year.
- No BOI report: US-formed LLCs no longer file one. Why.
- Florida income tax: a single-member LLC owned by an individual is usually ignored for Florida corporate income tax. If your LLC is taxed as a corporation, or owned by a company, ask an accountant whether a Florida return is due.
