Texas LLC franchise tax for non-US owners
Texas has no annual report in the usual sense, but every LLC is part of the franchise tax system. Small LLCs owe nothing and no longer file a "No Tax Due" report. They still have to file a Public Information Report every year by 15 May, and that's the filing foreign owners most often miss.
What a small Texas LLC files
- Public Information Report (PIR, Form 05-102): names the LLC's managers or members, its registered agent and its addresses. Due 15 May every year (the next business day if it falls on a weekend).
- No franchise tax and no No Tax Due Report if annualized total revenue is at or under the threshold. The Comptroller set it at $2.47 million for 2024 and 2025 reports and stopped using the No Tax Due Report from 2024. For 2026 and 2027 reports the threshold is reported as $2.65 million.
- A single-member LLC that the IRS ignores for income tax is still a taxable entity for Texas franchise tax, so this applies even if you file nothing else in Texas.
- An LLC with no revenue at all still files the PIR, showing zero.
How to file
- Find your LLC's 11-digit Texas taxpayer number. The Comptroller sends it after formation; your registered agent can also look it up.
- Log in to the Comptroller's WebFile system and choose the franchise tax report for the year.
- Enter total revenue. If it's under the threshold, the system skips to the Public Information Report.
- Check the managers or members, registered agent and addresses, then submit by 11:59 pm Central Time on the due date.
Everything on the PIR is public, including the names of managers and members.
If you miss it
- Late reports can bring penalties and interest, and the Comptroller will send notices.
- The real risk is forfeiture: after a Notice of Intent to Forfeit you have 45 days to fix it, then the LLC loses the right to do business in Texas and to use Texas courts, and managers can become personally liable for debts incurred while it's forfeited.
- Banks and payment providers may freeze accounts if they spot a forfeited LLC.
What else a foreign-owned Texas LLC files
- Form 5472 with a pro forma Form 1120 to the IRS by 15 April (15 October with a Form 7004 extension), for every year with money in or out between you and the LLC. Form 5472 guide. Missed it? Penalty relief.
- A Texas registered agent, all year.
- No BOI report: US-formed LLCs no longer file one. Why.
- Texas has no personal income tax, and a small LLC under the threshold pays no franchise tax.
Other states: Wyoming · Delaware · Florida · New Mexico.
