LLC annual report: fee and due date in every state

Most states make an LLC file a short annual (or every-two-years) report to stay in good standing. Miss it and the state can charge late fees and eventually dissolve your LLC. Pick your state and formation date to see what you owe and when.

What an annual report is

It's a short filing with the Secretary of State that confirms your LLC's address, registered agent and managers or members. It isn't a tax return and has no accounts in it. Some states call it a periodic report, annual list, statement of information or annual registration, and a few (Delaware, Arkansas, Texas) collect a tax instead.

What happens if you miss it

  • Late fees, from a few dollars to $400 in Florida.
  • Your LLC falls out of good standing, which can block bank accounts, loans and payment processors. How to check good standing.
  • After a few months the state can administratively dissolve the LLC. Reinstating it costs more than the report would have.

Registered in more than one state?

If your LLC is registered to do business in another state as a "foreign LLC", it usually files that state's report too, often at a higher fee.

Owned from outside the US?

The state report is only one filing. A foreign-owned single-member LLC also files Form 5472 with the IRS each year, and the penalty for missing it is $25,000. Check everything your LLC owes · compare yearly costs by state · do you still need a BOI report?
