Wyoming LLC annual report for non-US owners

Wyoming is the most popular state for founders outside the US because it's cheap and simple. The one yearly state filing is the annual report and license tax: usually $60, due in the month you formed the company.

When it's due

On the first day of your anniversary month, every year starting the year after you formed the LLC. If you formed it on 18 March 2025, your reports are due 1 March 2026, 1 March 2027, and so on. You can file up to 120 days early.

How much

The license tax is $60, or $0.0002 per dollar of assets located and used in Wyoming, whichever is more. For an online business run from outside the US with nothing physically in Wyoming, it's $60. You'd need over $300,000 of Wyoming assets before it rises.

Your registered agent's yearly fee is separate and paid to them, not the state.

How to file

  1. Go to the Wyoming Secretary of State's business site, wyobiz.wyo.gov, and choose Annual Report.
  2. Search for your LLC by name or filing ID.
  3. Confirm your addresses and registered agent, and enter your Wyoming assets (0 if none).
  4. Pay online. A small card processing fee may be added.
  5. Save the receipt.

Many registered agents offer to file it for you for an extra fee. It takes about five minutes yourself.

If you're late

  • Once the due date passes unpaid, the LLC is delinquent and loses its good standing.
  • If the report still isn't filed 60 days after the due date, the state can administratively dissolve the company. A dissolved LLC loses its good standing, and banks and payment processors may freeze accounts when they notice.
  • You can apply to reinstate it, but that costs more than filing on time and takes longer.

What else a foreign-owned Wyoming LLC files

  • Form 5472 with a pro forma Form 1120 to the IRS, by 15 April (or 15 October with Form 7004), for every year you put money in or took money out. The fine for missing it is $25,000. Form 5472 guide.
  • A registered agent in Wyoming, all year.
  • No BOI report: US-formed LLCs no longer file one. Why.
  • Wyoming has no state income tax, so there's no state tax return.
